Adani Airports Gets $1 Billion Funding From Top Investors

Adani Airports raises ₹9,825 Crore From Global Investors as India Prepares for More Air Traffic

Adani Airport Holdings Limited (AAHL) has agreed to raise ₹9,825 crore, or about US$1 billion, from a group of domestic and overseas investors as it prepares to expand its airport network and related businesses.

Alpha Wave Global, Premji Invest, Temasek and funds managed by BlackRock will subscribe to new shares in AAHL. The deal puts the airport company’s pre-money equity value at about US$18 billion. Once all three parts of the investment are completed, the investors will together own about 5.54% of AAHL.

The final tranche is expected to be completed by July 2027, according to the agreements signed between AAHL and the investors.

For Adani Enterprises Limited (AEL), which owns AAHL, the transaction brings a fresh round of institutional capital into its airport business. It comes less than two months after AEL raised ₹15,000 crore through a qualified institutional placement in July. That issue was described as the largest QIP by a non-financial company in India.

The new money is planned for airport expansion and upgrades, development around airports, and businesses such as ground handling. AAHL says the spending could take its annual passenger capacity to about 200 million.

India’s air travel market gives the company a large base on which to build. The Ministry of Civil Aviation’s annual report says Indian airports handled about 420.03 million passengers in 2025, up from 400.78 million in 2024. Domestic traffic reached 338.91 million passengers, while international traffic stood at 81.13 million.

AAHL currently has eight airports in its portfolio: Mumbai, Ahmedabad, Lucknow, Mangaluru, Jaipur, Guwahati, Thiruvananthapuram and Navi Mumbai. The company entered the airport business in 2019 after winning the right to operate, manage and develop six Airports Authority of India airports.

Its position changed further with the addition of Mumbai International Airport and Navi Mumbai International Airport. AAHL holds a 73% stake in Mumbai International Airport Limited, which in turn holds a 74% stake in Navi Mumbai International Airport Limited.

Navi Mumbai International Airport began commercial operations on December 25, 2025. Its opening gave the Mumbai region a second major airport and added capacity to one of India’s busiest aviation markets.

AAHL says its airports handled 96.4 million passengers in financial year 2025-26. The company also says its airports account for about 24% of India’s airport passenger traffic and 33% of the country’s air cargo traffic.

The latest fundraising comes as airport operators in India are spending heavily on terminals, runways and passenger facilities. The rise in traffic has placed pressure on existing airports, particularly in large cities where land and airspace are limited.

Mumbai provides one example. AAHL has been redeveloping Terminal 1 at Chhatrapati Shivaji Maharaj International Airport. The new terminal is planned to add capacity for about 20 million passengers a year after completion. Navi Mumbai airport is being used as part of the wider plan to handle demand in the Mumbai Metropolitan Region.

The ₹9,825 crore investment will also be used for what AAHL calls Adani Airport City developments. The first phase is planned to cover about 22 million square feet of mixed-use development around its airports. Such projects can include commercial, retail, hospitality and other facilities located close to airport infrastructure.

Ground handling and other non-aeronautical businesses will receive part of the funds as well. These activities have become an important source of income for airport operators because airports earn revenue from areas beyond airline and passenger charges.

AAHL raised US$750 million through external commercial borrowings in June 2025. That funding was arranged with international banks including First Abu Dhabi Bank, Barclays and Standard Chartered. The company said the money would be used for debt refinancing, airport upgrades and expansion at six airports, along with its non-aeronautical businesses.

The latest transaction is different because it brings equity investors directly into AAHL. Equity capital does not have to be repaid in the way a loan does, although new investors receive an ownership stake in the company.

Jeet Adani, Non-Executive Director of Adani Airport Holdings Limited, said: “This partnership marks an important milestone in building out the Adani Airports platform, and we are privileged to have such marquee, long-term investors alongside us on this journey. India’s aviation sector is one of the most powerful multipliers of the country’s GDP growth. Every expansion in air connectivity catalyses trade, tourism, employment and regional development well beyond the airport gate. With the backing of these partners, we will continue to invest ahead of that growth, scaling our infrastructure, city-side developments and non-aeronautical businesses to build one of the world’s leading integrated airport platforms.”

Arun Bansal, CEO of Adani Airport Holdings Limited, said: “We will continue to build capabilities within AAHL to scale it into the world’s largest airport platform. This ambition is buoyed by the exponential growth opportunities across India, the rising spending power of the Indian consumer, and the momentum of our city-side developments as powerful economic catalysts in the country’s major urban centres. We are deeply grateful to our partners for their confidence and look forward to continuing on this path together as we build a truly world-class airport platform for India.”

The transaction still needs to meet customary conditions, including applicable regulatory approvals.

For AAHL, the immediate task will be turning the new capital into additional airport capacity and commercial facilities. For passengers, the effect will depend on how quickly those projects are delivered and how much extra capacity they add at airports already dealing with rising traffic.

The company’s planned capacity of about 200 million passengers a year would put its airport network on a much larger footing than its present traffic levels. The investment therefore marks a new phase for AAHL, with the company seeking to expand both the airports it operates and the businesses built around them.
